Countryside Angels

Join a collaborative group of individual angel investors primarily from Iowa and Southeast Minnesota. This group is dedicated to providing outstanding financial returns to its accredited investors while supporting early-stage companies by offering them crucial funding. The organization operates as a member-managed entity, relying on volunteer time and efforts from its members. It is not a fund nor an incorporated entity but a loosely organized group of accredited investors interested in similar types of businesses. Members make individual investment decisions and collaborate on vetting deals and conducting due diligence.

Purpose and Objectives

Provide exceptional financial returns to its accredited angel investors.
Offer early-stage companies a valuable source of funding, preparing them for subsequent investment rounds.
Facilitate collaboration among members on screening, due diligence, deal negotiation, and investments, which is more comprehensive, time-efficient, and cost-effective than working alone.
Diversify individual investor portfolios.

Membership Requirements and Expectations

Members of Countryside Angels must meet several criteria and adhere to specific expectations.
Accredited Investor Status
Members must be accredited investors with a net worth exceeding $1 million (excluding primary residence) or an annual income of $200,000 ($300,000 combined with a spouse) in the last two years.
Active Participation
Members are expected to attend meetings, participate in screening and due diligence, and actively contribute to the process
Minimum Investment
The minimum investment per deal, per member is $10,000. Every member has complete discretion over whether or not they invest in any given company.
Geographical Location
Members should generally reside or work in rural areas as defined by the U.S. Department of Agriculture.
Not Just for Farmers!
The definition of “rural”, for purposes of Countryside Angels, is anyone living outside a city of 50,000 population or greater or its suburbs. This means people living in towns like Albert Lea, Mason City, & Winona are welcome to join. We need them for their industry expertise in areas other than farming and for critical mass.

The Countryside Angels’ membership code of conduct ensures a professional and collaborative environment. Members must:

  • Conduct themselves professionally at all times.
  • Respect the privacy of other members and keep membership information confidential.
  • Focus on investment pursuits during meetings and communications, avoiding solicitation of business.
  • Disclose any relationships with presenting companies that may result in personal gain.

Angel Capital Association Benefits

All  Countryside members will automatically become a member of the Angel Capital Association (ACA) with the following benefits.

Investment Process

The investment process at Countryside Angels is structured and member-driven. Quarterly meetings are held at various locations, where one or two companies present their business opportunities. Proposals must be submitted two weeks prior to the meeting, and members receive short descriptions of potential presenters 10 days in advance. During the meetings:

  • Presenters have 15 minutes to present, followed by a five-minute Q&A session.
  • Detailed financial statements and investment terms are not discussed at the meetings.
  • Members fill out an “indication of interest form” to express their interest in further discussions with the presenting companies.
